Soma My Rewards Program Terms and Conditions

These Soma My Rewards Program Terms and Conditions (“Program Terms”) govern participation in the Soma My Rewards Program (the “Program”) in the fifty (50) U.S. states, District of Columbia and U.S. territories, including those who participate as cardmembers of the Soma Credit Card or the Soma Mastercard® (collectively, “Soma Cardmembers”).

These Program Terms were last updated on 1/22/2026.

The Program is owned and serviced by Chico’s Distribution Services LLC (“Soma” and/or "we" or "us"). Please read these Program Terms carefully. They affect your legal rights and require that you waive class action claims associated with the Program between you and Soma and waive the right to trial by jury to the fullest extent permitted by law. See the section below titled Class-Action Waiver/Dispute Resolution Choice of Law for more details.

For Soma Cardmembers who participate in the Program, your credit card account agreement with Synchrony Bank, which governs the use of your credit card, is separate and independent from these Program Terms. In the event of any conflict between these Program Terms and the credit card account agreement, these Program Terms will control in any matter relating to the Program.

By participating in the Program, you agree to these Program Terms. The Program is void where prohibited by law. Please read our Privacy Policy carefully to understand how we collect, use, and disclose information about customers. Our Privacy Policy is posted on soma.com. Soma reserves the right to modify or cancel the Program, or change or eliminate benefits at any time without prior notice.

Overview

The Program is available to eligible customers (see “Eligibility & Registration” below for full eligibility details). There is no fee to join or maintain membership in the Program. Eligible customers who sign up for a program account ("members") will be able to earn points (“Points”) on their qualifying purchases. When you have earned the requisite amount of Points, those Points will be converted into reward certificates (each a “Reward Certificate") that you can use to make merchandise purchases at participating Soma Boutiques and Outlet locations, or soma.com. See Exhibit A for a full description of Program details.

Eligibility & Registration

Eligibility. To participate in the Program, you must be at the time of Program enrollment: (i) at least eighteen (18) years of age; and (ii) a resident of one of the fifty (50) U.S. states, the District of Columbia or U.S. territories. International residents are not eligible for the Program.

Registration and Membership. You may sign up for the Program at any participating Soma store (including participating Soma Boutiques and Outlet locations) or by creating an account online (“Program Account”) at soma.com (“Site”) (each a "Participating Location”). You must provide us with all required information to register for a Program Account: your first and last name plus your valid mailing address, a valid email address, and phone number, and you must accept these Program Terms, our website Terms of Use, and our Privacy Policy.

Any individual must be enrolled in the Program in order to apply for a Soma credit card (“Soma Credit Card”) or Soma Mastercard® (“Soma Mastercard®”). The Soma Credit Card and the Soma Mastercard® are referred to herein collectively as “Program Credit Cards.” A member who is a cardmember of a Program Credit Card is a “Cardmember“.

In order to receive all of the benefits of the Program, you must complete and maintain your online Program Account and opt-in to receive email marketing communications from Soma. Additional information, such as your birth month, will be required to receive some of the Program’s benefits. In order to access and use the Program, members must have a device that is capable of accessing the internet as certain Program benefits require you remain opted-in to email marketing to receive them. If you elect to opt-out of email marketing, you will still receive your earned Reward Certificates and Birthday Rewards as part of our transactional communications, but you may no longer receive certain promotional benefits you would otherwise be eligible to receive.

If your Program Account shares an email address or phone number with another member’s account that doesn’t meet the criteria above, please contact Customer Service to update your contact information.

Duplicate accounts or those sharing emails may be canceled, with Points and Reward Certificates forfeited, or merged at our discretion without notice or liability. If you have more than one Program Account, please contact Customer Service for assistance.

Earning Points and Conversion of Points to Reward Certificates

Points. As a member of the Program, you will earn Points for every $1 spent on Qualifying Purchases. “Qualifying Purchase” means a purchase at a Participating Location of qualifying merchandise purchases excluding gift cards, prior purchases, price adjustments on prior purchases, certain excluded merchandise, and other exclusions that may apply from time to time after all applicable discounts have been applied (e.g. in-store event discounts, coupons, special offers, Reward Certificate redemption), excluding shipping and/or taxes and less any returns.

In order to earn Points, you must provide your member number, phone number, or email address associated with your Program Account at the time of purchase in-store, or sign in to soma.com using your login associated with your Program Account prior to checkout when shopping online. (Note: Each time you make an online purchase, be sure to log into your soma.com account associated with your Program Account before checkout to receive Points credit on Qualifying Purchases. If you joined the Program in-store and wish to begin to receive credit for online purchases, complete the registration process using your member number provided during in-store sign-up.)

Purchases at Soma Participating Locations. Point calculations are based upon dollars spent at checkout on Qualifying Purchases as follows:

Soma Credit Cards: 7.5 Points (7.5%) for every $1 spent on Qualifying Purchases.

Other Forms of Payment: 2.5 Points (2.5%) for every $1 spent on Qualifying Purchases.

You may see Reward Points you receive advertised as “% Back in Rewards”.

Accrued Points will be posted to your Program Account within three (3) business days from the time of your in-store Qualifying Purchase or from the date your online Qualifying Purchase ships. Points will be rounded up to the nearest whole number.

Purchases outside of Soma Participating Locations: Soma Mastercard® purchases earn 2 Points (2%) for every $1 spent at Grocery Stores and Restaurants and 1 Point (1%) for every $1 spent everywhere else Mastercard® is accepted. Merchants must submit charges under the appropriate merchant code in order for purchases to qualify for 2% rewards. Neither Soma nor Synchrony Bank determines whether merchants appropriately identify all transactions, but Soma reserves the right to determine which purchases qualify for Points. Accrued Points will be posted to your Program Account within 5-10 business days from the time of your monthly credit card statement. Points will be rounded up to the nearest whole number.

From time to time, members may be offered additional opportunities to earn Points other than through Qualifying Purchases. Offer terms may vary, participation may be limited to certain membership Status Levels (defined below), certain Participating Locations, and may include other exclusions. See individual offer terms for full details. Soma may discontinue, change, or replace offers and the relevant offer terms at any time.

You have no property, proprietary, intellectual property, ownership, or monetary right to or interest in your Points. Points have no “real world” or cash value and are not redeemable for cash, transferable, or assignable for any reason or otherwise by operation of law. Points have no purpose or use except in exchange for Reward Certificates (if any) offered via the Program. Accordingly, you may not purchase, sell, barter, or trade any Points or offer to purchase, sell, or trade any Points or other virtual items. Any attempt to combine or transfer Points in any other manner will result in disqualification from the Program and forfeiture of all Points and Reward Certificates in the Program Account. Points will not be valid unless earned in strict compliance with the requirements as established and intended by us, and member shall not attempt to earn Points by any means (including without limitation by using any script, bot, or other automated means) that only simulates compliance with the applicable requirements.

The accounts of Soma Cardmembers must be in good standing (as determined in the sole discretion of Synchrony Bank) to earn Points using their Program Credit Card. We rely on Synchrony Bank to let us know if your Account is not in good standing for purposes of the Program.

Points accrued by a Member who is an authorized user of a Soma credit card will be applied to the individual Member’s account that is linked to the purchase. Authorized users using their Soma Mastercard® for qualifying purchases made outside of Soma stores or online will accrue points to the primary cardmembers Program Account.

Reward Certificates. Each time a member earns 500 Points, the member will be issued a $5 Reward Certificate. From time to time, we may combine your Reward Certificates and issue higher denominations of Reward Certificates above $5 in value, not typically to exceed a $25 Reward Certificate. Points are deducted from a member’s account balance when a Reward Certificate is issued. Reward Certificates are redeemable on merchandise purchases at Participating Locations only. Reward Certificates will be issued within forty-five (45) days of the date the Reward Certificate is earned to the email address associated with your Program Account. If at any time we do not have a valid email address on file, Reward Certificates earned during that time will be void and forfeited; Points redeemed in relation to any forfeited Reward Certificates will not be reinstated. Each member is responsible for ensuring the email address associated with their Program Account is accurate and up-to-date. Changes to Program Accounts or the information in them should only be made by the member to whom such accounts belong. We are not responsible for non-receipt of any Reward Certificate for any reason.

Reward Certificates are issued as one-time-use certificates for discounts off future merchandise purchases and may only be applied to merchandise purchases totaling more than the amount of the total Reward Certificates, plus all other offers and coupons presented for redemption, if any. You may combine up to a maximum of five (5) separate offers (Reward Certificates, Birthday Rewards, other Program offers or coupons, and Soma online or in-store offers or coupons) on a single transaction subject to each offer or coupon’s individual terms; further restrictions on the number of offers that may be combined may apply from time to time. For instance, if you earned three (3) Reward Certificates plus a Birthday Reward and you received a mailer certificate from Soma, you may use them all on the same transaction so long as the offers have not expired, and you meet the relevant criteria associated with each offer. Other than free shipping offers which can be used to reduce shipping fees, offers of any kind cannot be used to pay for sales tax, shipping, or the purchase of gift cards.

Point & Reward Certificate Expiration; Returns & Exchanges; Errors

Point & Reward Certificate Expiration. Points shall expire automatically seven hundred thirty (730) days from the date they are earned, have no cash value, and are not redeemable or transferable. Each Reward Certificate will expire one hundred and eighty (180) days after Reward Certificate issuance. Reward Certificates issued must be used by the expiration date listed on the Reward Certificate or the Reward Certificate will be void and forfeited.

Returns & Exchanges. If you return or exchange any merchandise that is part of a Qualifying Purchase, the corresponding amount of Points earned on that Qualifying Purchase will be deducted from your balance and are forfeited. For example, if you made a Qualifying Purchase of $100 using forms of payment other than a Program Credit Card, you would earn 250 Points. If you later return a $20 item, 50 Points will be deducted from your Points balance. If you exchanged a $50 item for a $30 item, 50 Points will be deducted from your Points balance. If you return any part of a Qualifying Purchase after a Reward Certificate has been issued from the Points earned on such purchase, a negative Points balance may result, or the Reward Certificate may be void and automatically forfeited. If you return an item purchased with Reward Certificates, the Reward Certificates will be forfeited, and no refund of the Reward Certificate amount will be provided.

Errors. Each member will be responsible for verifying the accuracy of their Points total. If you believe your Points total is not accurate or that Points earned were not credited, please see the Contact Us section below for details on how to reach us. Points subsequently determined to be invalid (in the sole discretion of Soma) will be removed from your Program Account total.

Points, Reward Certificates and Program Accounts Are Non-Transferable and Not Redeemable for Cash

Any Points or Reward Certificates you earn are considered a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable certificate solely for use towards future purchases at Participating Locations. Accordingly, you have no property, proprietary, intellectual property, ownership, or monetary interest in your Reward Certificates, which remain Soma property at all times. Reward Certificates have no “real world” or cash value and are not redeemable for cash and are not transferable or assignable for any reason or otherwise by operation of law. Reward Certificates have no purpose or use except as a certificate towards future purchases. Accordingly, you may not purchase, sell, barter, or trade any Reward Certificates or offer to purchase, sell, or trade any Reward Certificates or other virtual items. Any attempt to combine or transfer Reward Certificates in any other manner will result in disqualification from the Program and forfeiture of all Points and Reward Certificates in the Program Account.

Loss of Points and Reward Certificates; Termination of Your Program Account

Reward Certificate offers are subject to the terms and conditions accompanying each Reward Certificate. We are not responsible for lost or stolen Reward Certificates or other offers. Reward Certificates are non-transferable and are limited to one per customer, one transaction, and one-time use only. Additional restrictions may apply. Reward Certificates may be revoked at any time in our sole discretion.

Soma may revoke your participation in the Program for: (i) abuse of the Program, such as using bots or automated means to earn Points or Reward Certificates; (ii) failure to follow Program Terms or other applicable conditions; (iii) attempting to sell or transfer Points, Reward Certificates, or your Program Account; (iv) misrepresentation or fraudulent behavior; or (v) any conduct deemed detrimental, fraudulent, illegal, or improper by Soma in its sole discretion. If revoked, any unused Points or Reward Certificates will be forfeited, and future participation may be prohibited at Soma’s sole discretion.

Program Account Closure

You may elect to close your Program Account at any time by contacting our Customer Service (please see the Contact Us section below). For Soma Cardmembers, you must first close your credit card account with Synchrony Bank before closing your Program Account (Synchrony Bank’s contact information is in the Contact Us section below). Upon any closure or termination of your Program Account except related to your misuse or fraud, any remaining Reward Certificates in your Program Account will be honored through their expiration date. Points remaining in your Program Account will be forfeited and have no cash value. If you later elect to re-enroll in the Program, you will not have access to any Points associated with your terminated Program Account and your beginning balance of Points will be zero. For New York residents, Points will be maintained and Rewards Certificates will be honored for ninety (90) days from notice of Program Account closure.

Updating Your Program Account

You may access and update your Program Account information by logging into the Site and accessing your Program Account, or by calling our Customer Service Team (see details below for contact information). You are solely responsible for any and all activities that occur under your Program Account and to ensure that your information is accurate in order to receive all benefits of the Program.

Member Communication

You may view your Program activity by logging into the Site and viewing your Program Account profile or by calling our Customer Service Team (see details below for contact information). A current, valid email address is required for a member to receive certain notices in the Program, including without limitation, information about certain additional earnings activities and when you have been issued a Reward Certificate.

LIABILITY; INDEMNIFICATION

To the maximum extent permitted by applicable law, this Program is made available to you on an "as is" and "as available" basis, without representations or warranties of any kind, express, implied, statutory or otherwise, including without limitation, warranties of title or implied warranties of merchantability, non-infringement, or fitness for a particular purpose or those arising out of a course of dealing or usage of trade. To the maximum extent permitted by applicable law, Soma and its affiliates, parents and subsidiaries, (collectively, “the Soma Parties”) make no representation or warranty about the suitability of the Program for any purpose. To the maximum extent permitted by applicable law the Soma Parties shall not have any liability or responsibility for any errors or omissions in the Program, for your action or inaction in connection with your participation in the Program or for any damage you may incur in connection with the Program. Your participation in the Program is at your own risk. To the maximum extent permitted by applicable law, in no event shall either the Soma Parties or their agents or third party providers or licensors be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising out of or in any way connected with the Program, the delay or inability to participate in the Program or otherwise arising in connection with the Program, whether based on contract, tort, strict liability or otherwise, even if advised of the possibility of any such damages.

To the maximum extent permitted by applicable law, this disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action. You specifically acknowledge that none of the Soma Parties is liable for the conduct of other members. The limitation on damages in this section is not intended to limit Soma’ obligation (if any) to pay prevailing party costs or fees, if recoverable pursuant to applicable law. The limitations set forth in this section will not limit or exclude the Soma Parties’ liability for personal injury or tangible property damage caused by the Soma Parties, or for the Soma Parties’ gross negligence, fraud, or intentional, willful, malicious, or reckless misconduct.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent Soma, may not, as a matter of applicable law, disclaim any warranty or limit Soma liability, the scope and duration of such warranty and the extent of Soma liability will be the minimum permitted under such law.

Each member understands and agrees that all rights under Section 1542 of the civil code of California and any similar law of any state or territory of the United States are hereby expressly waived by him/her. Section 1542 reads as follows:

“A general release does not extend to claims which the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her, would have materially affected his or her settlement with the debtor or released party."

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold the Soma Parties harmless from and against any and all claims, damages, costs and expenses, including attorneys’ fees, arising from or related to your participation in the Program.

Modification of These Program Terms & Termination of the Program

We reserve the right to modify, restrict, suspend, or otherwise change any aspect of the Program, and/or these Program Terms from time-to-time, including without limitation, the eligibility conditions for participation in the Program, the manner in which members participate, the manner and rates at which Points and Reward Certificates are earned and redeemed, redemption mechanisms, or what constitutes an earning activity, with reasonable notice to members. We will notify you of changes to these Program Terms by posting them to the Site, notifying you by email to the email address then associated with your Program Account, and/or using any other contact information we may have for you. The updated Program Terms will be effective as of the time of posting, or upon such later date or by such other method as specified by Soma. The updated Program Terms will apply to your participation in the Program beginning as of their effective date or upon the occurrence of such other action specified by Soma at the time. Should you not agree to such an amendment, you may cancel your participation in the Program as set out in “Program Account Closure/Termination.” We reserve the right to terminate the Program completely by providing you with written notice of and instructions regarding the impending termination.

CLASS-ACTION WAIVER/DISPUTE RESOLUTION/CHOICE OF LAW

These Program Terms and the Program will be governed by and construed in accordance with the laws of the State of Florida, without regard to any conflict of law provisions. You irrevocably and unconditionally consent to the exclusive jurisdiction of the state and federal courts located in Florida for any litigation or dispute arising out of or relating to your participation in the Program. Any cause of action or claim you may have with respect to the Program must be commenced within one (1) year after the claim or cause of action arises or be barred forever. Soma’ failure to insist upon or enforce strict performance of any provision of these Program Terms shall not be construed as a waiver of any provision or right. These Program Terms constitute the entire agreement between you and Soma with regard to the Program and matters addressed in these Program Terms. Neither the course of conduct between you and Soma nor trade practice shall act to modify any portion of these Program Terms. Any legal dispute between you and Soma concerning or arising out of these Program Terms and/or your use of the Program, shall be resolved on an individual basis in court or small claims court only (hereafter, the “Dispute Resolution Agreement”). Either you or Soma may bring any individual claim in small claims court consistent with the jurisdictional and dollar limits that may apply, as long as it is brought and maintained as an individual claim.

Waiver of Right to Bring Class Action and Representative Claims.

All disputes shall proceed on an individual basis. The judge is empowered to resolve the dispute with the same remedies available in court, however, any relief must be individualized to you and shall not affect any other customer. You and Soma agree that each may bring claims against the other in your or their respective individual capacities and in so doing you and Soma hereby waive the right to a trial by jury, to assert or participate in a class action lawsuit or class action arbitration, to assert or participate in a private attorney general lawsuit or private attorney general arbitration, and to assert or participate in any joint or consolidated lawsuit or joint or consolidated arbitration of any kind. If a court decides that applicable law precludes enforcement of any of this paragraph's limitations as to a particular cause of action, then that cause of action (and only that cause of action) must remain in court and be severed.

Privacy

Information collected about you in connection with your Program Account and the Program is subject to Soma's Privacy Policy to understand how we use and share your information, including with our affiliated brands and third parties for their own marketing purposes, and how to opt-out and change your choices.

Notice of Financial Incentive

General Information

If any part of these Program Terms is invalid or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Program Terms will govern such participation. Our performance under these Program Terms will be excused to the extent that such performance is hindered, delayed or made commercially impractical by causes beyond our reasonable control.

Soma's performance of these Program Terms is subject to applicable existing and future laws and legal process, and nothing contained in these Program Terms is in derogation of Soma's right to comply with law enforcement requests or requirements relating to your participation in the Program or information provided to or gathered by Soma with respect to such participation.

These Program Terms constitute the entire agreement between you and Soma with respect to the Program. These Program Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Soma with respect to this Program. No modification of these Program Terms will be effective unless it is authored by Soma or its affiliates, or unless it is physically signed by a Soma officer. Any alleged waiver of any breach of these Program Terms will not be deemed to be a waiver of any future breach. A printed version of these Program Terms and/or of any notice given by Soma in electronic form will be admissible in judicial or administrative proceedings based upon or relating to these Program Terms or your participation in the Program to the same extent and subject to the same conditions as other business documents and records originally generated and maintained by Soma in printed form.

No Warranties

Synchrony Bank does not: (a) endorse Reward Certificates or products or services purchased at Soma using Reward Certificates; (b) make any express or implied warranty regarding Reward Certificates or products or services purchased at Soma; (c) guarantee the performance of Reward Certificates or products or services purchased at Soma; or (d) offer, operate or control Reward Certificates offered through this Program.

Exhibit A: Program Details
Membership Status Levels based on Qualifying Spend

There are four (4) Membership Status Levels (“Status Levels”) in the Program that are available to members based on qualifying spend and card membership, shown in the table below. Upon becoming a Cardmember and/or reaching the required spending milestone in the chart below based on your Qualifying Purchases in your Program Account within a calendar year (“Qualifying Spend”), members will be upgraded in status and unlock additional benefits. A Member or VIP Member does not participate in the credit card program.

Should you qualify for VIP Member or VIP Cardmember status, you will retain such status for the remainder of the current calendar year regardless of any Returns or Exchanges you make. However, Returns and Exchanges will be considered in calculating your net Qualifying Purchases when determining your status at the start of the following year. Purchases from other Chico’s FAS brands (White House Black Market, whitehouseblackmarket.com, Chico’s, and chicos.com) are not included in determining your Status Level. Purchases made with a Soma Mastercard® outside of a Participating Location are not included in determining Status Level.

Status Levels are determined in January of each year, based on net Qualifying Spend from the preceding calendar year, between January 1 and December 31. Members will be upgraded to VIP Member or VIP Cardmember status upon reaching the minimum Qualifying Spend Requirement during a given calendar year. 1. Reward Certificates: As described in the Section titled Earning Points and Conversion of Points to Reward Certificates above.

2. Birthday Reward: To be eligible to receive a birthday reward (“Birthday Reward”), we must have your birth month and a current valid email address in your online membership profile, and you must have completed a Qualifying Purchase with us within the past twelve (12) months. Birthday Rewards are not valid on purchases of gift cards, prior purchases, taxes, shipping, and certain other merchandise; other exclusions may apply. Limit one (1) Birthday Reward per customer per calendar year. To provide your birth month after enrollment, ask your Store Associate to add it at checkout in any participating Soma location or update your Program Account. Soma Cardmembers must have made a Qualifying Purchase with us on their Program Credit Card within the past six (6) months in order to qualify for the Birthday Rewards associated with Soma Cardmembers. Otherwise, a Soma Cardmember will receive a Birthday Reward in the amount associated with the Member or VIP Member status, as applicable.

3. Free Shipping:

Soma Cardmembers: Unlimited free shipping for purchases made with Program Cards at Participating Locations.

VIP Member Status Level: Unlimited free shipping on Orders $50+ at Participating Locations.

Free shipping benefits are redeemed for free standard parcel post shipping (estimated 4-10 days for delivery) on deliveries within the continental U.S. for all purchases made on soma.com, Soma, and Soma Outlet. Express and Next Day delivery options are available but not for P.O. Boxes, AP/FPO military addresses, and certain other areas we cannot reach. See Soma.com for shipping details and restrictions. All shipping charges listed on the Site include both shipping and handling fees, which are non-refundable. We reserve the right to modify or eliminate Program shipping benefits at any time without notice.
